Our approach

Bring your plans to fruition between France and Andorra

A written recommendation, clear responsibilities and follow-up until the agreed work is complete.

A structure is useful if it serves your plans and can work over time. We connect legal, tax, accounting, banking and wealth decisions, then follow their implementation with the professionals involved.

You have a point of contact who knows the whole case, recognises when specialist approval is needed and explains clearly what remains to be done.

Objectives

Understand what you
really want to achieve

Moving abroad, starting a business, investing or passing on wealth involves decisions that go beyond tax. You need to know what you want to develop, retain, finance and pass on, and who you want to do it with.

We start by looking at your personal circumstances, companies, assets, debts and existing commitments together. We also review the advisers already supporting you, transactions under way and decisions whose timing cannot change without consequences.

Gather the facts before choosing a solution

Articles of association, accounts, agreements, financing, returns and earlier legal instruments tell part of the story. Your objectives, cash needs, family life and the way the companies operate tell another part.

Looking at these together helps identify the right questions and what information is missing. It keeps the recommendation from resting on an unverified assumption.

Distinguish what is essential from what is optional

We may recommend keeping the existing arrangements, simplifying them or setting up a single subsidiary for a specific activity. We propose an additional holding company, a transfer or a wider transaction only if we can explain its purpose and implications.

Start with the decision you need to make.
Any structure comes later, if it is needed.

Analysis

Make decisions with an analysis
you can refer back to

A sound decision should still make sense after the meeting. We document the options considered, the implications identified, the points that need further approval and the recommendation reached.

Compare viable options

We look at tax alongside governance, financing, recurring costs and operating obligations. For a France–Andorra project, we assess the consequences on both sides of the border. Establishing a presence in Andorra does not make French rules disappear.

Know when to rule something out, wait or simplify

We focus on the steps the project actually needs. A new company may be unnecessary. A restructuring may have to wait for approval, a valuation or a family decision. The existing arrangements may already let you move forward.

We need to be able to advise against a transaction if its purpose is unclear, its demands are disproportionate or its risks cannot be properly managed.

Define the work before it starts

The proposal sets out the work, deliverables, people involved, expected approvals and budget. The firm’s fees, third-party costs and recurring follow-up are listed separately. If the project changes, we agree on additional work before starting it.

Advisers

Work with your advisers
without starting from scratch

Your lawyer, accountant, statutory auditor or notary knows the history of your group and family. That knowledge should inform the work in Andorra.

An open-architecture model

We can review the project with your existing advisers and then carry out the local work assigned to us. We can also lead coordination with them and, where needed, involve our associates in France for a specific analysis or procedure.

Roles stay clear: who prepares, reviews, decides, signs and receives the final documents. A specialist sign-off should have a clear owner so it does not get lost in an email chain.

Share only the information needed

With your consent and in line with each profession’s rules, we arrange for the necessary documents to be shared. Involving several advisers does not authorise blanket sharing of all information.

Lessons from other transactions are shared in general terms without identifying details. A position obtained in one case is always reviewed before being applied to another.

Decide

Put decisions into practice

An analysis is valuable when it can be put into practice. We organise legal instruments, authorisations, account openings, formalities, accounting entries and exchanges with third parties in line with the agreed engagement.

Move each matter forward in the right order

Some steps can run in parallel. Others depend on a prior decision or document. We explain what is actually holding things up, how it affects the next steps and what will get the work moving again.

The schedule helps coordinate the work. It distinguishes mandatory deadlines, timings given by third parties and the time the work takes. We use it alongside active follow-up on each step.

Keep a record of what was done

Decisions, final legal instruments, acknowledgements of receipt, organisation charts and agreements are collected and passed to those who will take the case forward. Values, commitments and obligations that need follow-up remain identifiable.

Coordinate France and Andorra through implementation

Both companies involved need to understand a shareholder advance, contribution, distribution or licence. Contracts, accounts and returns must reflect the same transaction.

Our presence in Andorra, ability to work in Catalan and familiarity with local contacts make local procedures easier. French matters are taken up with the appropriate professionals and your existing advisers.

Professional framework

A clear professional framework

Accurate titles and responsibilities

Matthieu Bech, managing partner, is a legal specialist in French tax law and cross-border procedures. He is an economist registered with the Col·legi Oficial d’Economistes d’Andorra under number 297.

SOL Fiscal works with your advisers on legal, tax and property matters

Professional secrecy, ethics and conflicts of interest

Professional secrecy, ethics and conflict checks are part of opening a case and following it through. We identify the people involved, their roles and any interests that could interfere with the engagement.

When the firm or one of its partners is involved in a transaction in another capacity, that role and its implications must be disclosed. The client must be able to distinguish the advice received, their own decision and each participant’s interests.

Note — The role of the economist in Andorra

In Andorra, an economist is a regulated professional in economics and business. Their remit includes accounting, financial and tax matters as well as business advice. In that capacity, economists assess and support restructurings. Tax advice falls within their remit. Lawyers also advise on tax matters within the scope of their profession.

This professional framework differs from the everyday meaning of “economist” in France. At SOL Fiscal, it complements Matthieu’s legal training and his specialisation in French tax law and cross-border procedures. Work within the remit of other professions is arranged with appropriately authorised professionals.

Fees

Fees that reflect
the work you need

Well-structured financing, a precise agreement, a procedure completed properly or an issue identified before signing can have effects for years.

Fees cover the agreed work: analysis, preparation of decisions, legal instruments within scope, coordination and follow-up. You should be able to see what was assessed, what was produced and why an option was chosen.

When several professionals are involved, we allocate work to use each person’s expertise where needed and avoid duplication. A straightforward case should stay straightforward.

Ongoing arrangements

Follow up on the arrangements
after signing

Setting up a company, relocating or restructuring goes beyond signing the documents. The first year-end close, returns, corporate resolutions, financing and commitments need to stay aligned.

A team that knows the history of the case

Within the agreed scope, we can handle or coordinate accounting, tax obligations, corporate formalities and follow-up on agreements. Relevant legal instruments and analyses are passed to those who keep the accounts or oversee the group.

Revisit the case when rules or plans change

We monitor changes in legislation, case law and administrative guidance relevant to our work. A disposal, distribution, investment or transfer may call for a fresh review. We check outstanding commitments and propose any changes needed.

Once you have settled in, we can also revisit pending French matters with your advisers, including property, companies that have outlived their purpose, financing or succession.

The work continues with the decisions you want to make next.

FAQ

Frequently asked questions about
how we work

What do we discuss first?

We first seek to understand the project, the countries involved, the companies and the decisions already made. This discussion helps identify the relevant documents and determine whether the firm can assist.

Which documents should I prepare?

Depending on the matter, we may ask for an organisation chart, articles of association, recent accounts, tax notices, legal instruments, agreements, financing documents and correspondence already under way with advisers or authorities. We request the records relevant to the case.

Can I keep my existing lawyer, accountant or notary?

Yes. We can work with them, agree on responsibilities and share relevant information with your consent. A longstanding relationship often helps explain earlier decisions and prepare for the next ones.

Is it necessary to set up a holding company in Andorra?

No. Its usefulness depends on its purpose, effective management, activities, shareholders and financial flows. Keeping a French parent, setting up an Andorran subsidiary or simplifying the current arrangements may be more appropriate.

How is confidentiality managed among the people involved?

Sharing is based on each person’s needs and the applicable professional rules. Documents go to the participants who need them. Conflicts of interest are assessed and any specific roles are disclosed.

How do I know what the fees cover?

The proposal sets out the scope, deliverables, budget and, where relevant, third-party costs or recurring follow-up. If the project changes, we agree on the additional work before starting it.

What happens after the transaction?

We arrange delivery of the legal instruments and relevant information, then the follow-up agreed in the engagement, such as accounting, returns, corporate resolutions, agreements or tax commitments. New matters are scoped separately.
